Terms of Service

Version 1.2Effective date: [Effective date]

1. Who we are

1.1. These Terms of Service (the "Terms") are an agreement between you and [Company name], a company registered in the Republic of Uzbekistan under registration number [Registration number], with its registered address at [Registered address, Uzbekistan] ("we", "us", "our").

1.2. The Terms cover OddSnipe (oddsnipe.com, the @OddSnipeBot Telegram bot and its Mini App) and MemeGun (memegun.trade, the @MemeGunTradeBot Telegram bot and its Mini App), our browser extension, our APIs and any related features (together, the "Service"). OddSnipe and MemeGun are one platform: one account, one USDC balance, shared referrals and points.

1.3. Contact: [email protected]; legal notices: [email protected].

2. Acceptance of these Terms

2.1. By using the Service you agree to these Terms, the Risk Disclosure, the Privacy Policy and the Cookie Policy. If you do not agree, do not use the Service.

2.2. Before your first deposit and before your first trade you must accept these Terms and the Risk Disclosure explicitly (a checkbox on the website or in the Mini App, or the "I accept" button in the bot). We record the version you accepted, the date and time (UTC) and the channel (website, Mini App, bot or extension). This record is evidence of your acceptance.

2.3. When we publish a new version of these Terms that requires acceptance, you must accept it before you can make further deposits, open new positions or enable copy trading. Until then you can still close positions and withdraw your funds, subject to Section 8.

3. Eligibility and restricted jurisdictions

3.1. You must be at least 18 years old (or the age of majority in your country, if higher) and have full legal capacity to enter into these Terms.

3.2. You may not use the Service if you are located in, resident in, or a citizen of a restricted jurisdiction, or if you are a person subject to sanctions. Restricted jurisdictions include countries and regions under comprehensive sanctions and jurisdictions where the relevant product is not available. The current list is published on the website (the "Region" page) and may change without notice.

3.3. The restricted jurisdictions include the Republic of Uzbekistan. We do not offer the Service to persons located in or resident in Uzbekistan. This is our business decision, not a sanctions measure: the laws of Uzbekistan require personal data of citizens of Uzbekistan to be stored in databases located in Uzbekistan, and we do not store data there. Residents of Uzbekistan cannot use the Service. On the websites, in the Mini App and in the browser extension the country is determined from the IP address of the request, and registration from Uzbekistan is refused before any account record is created. In a Telegram bot the IP address is not available, so an account can be opened there without stating a country; deposits and trading become available only after your country has been checked by IP when you sign in to a website or the Mini App, and the strictest of the countries known to us (by IP and, if you have stated one, the declared country) applies. If you declare Uzbekistan when you open the account in the bot, the account is not created and nothing is recorded. An existing account connected with Uzbekistan — you declared Uzbekistan as your country, you signed in from Uzbekistan, or we confirmed it after a review — is switched to withdraw-only mode: you may sign in, view your balance, close your open positions (sell memecoins and Polymarket shares you hold, no more than the size of your position), withdraw your remaining balance to addresses in your whitelist (subject to Section 8, including the 24-hour delay for a new address) and delete your account (Section 16.2). Closing trades go through the same checks as any other trade. Buying and any increase of a position in all products (including buying the opposite outcome of a market), new copy-trading subscriptions, deposits, Telegram Stars payments, the referral program and the browser extension are not available in this mode; existing copy-trading subscriptions only follow the leader’s exits (when the leader sells, your copied position is sold too) and do not copy buys. Funds that still arrive at a deposit address issued to you are credited so that you can withdraw them. A single earlier sign-in from Uzbekistan does not by itself restrict an account; we may review it and then either remove the mark or switch the account to withdraw-only mode. Only we can lift withdraw-only mode, for example if you show that you are not a resident of Uzbekistan. [The lawyer to confirm the wording and whether citizens of Uzbekistan living abroad are also covered.]

3.4. You must not use a VPN, proxy or any other means to hide your location or to bypass geographic restrictions. You must not declare a country that is not your real country.

3.5. We may block, restrict or freeze any account, deposit, trade or withdrawal, without prior notice, if we believe that you do not meet the eligibility requirements, that you are bypassing restrictions, or that this is required by law, sanctions or security needs.

3.6. You use the Service only for yourself. You may not open accounts for other people or let other people use your account.

4. What the Service is

4.1. The Service provides software tools: market data, our own estimates, AI-generated assessments, trader ratings, whale alerts, token check results with Safe / Sketchy / Rug-tier labels, order tickets, execution of orders that you confirm, copy trading tools, a custodial wallet and an internal USDC balance, referrals, points and competitions.

4.2. Orders are executed on third-party venues and protocols (for example, Polymarket and decentralized exchanges on supported blockchains). We are not Polymarket, we are not a bank, a broker, an exchange or an investment adviser, and we do not act as your counterparty unless expressly stated.

4.3. Features may be available only in some regions, only in some modes, or only for some users. We may add, change or remove features at any time.

5. No investment, financial, legal or tax advice

5.1. Nothing in the Service is investment, financial, legal, tax or any other professional advice, a recommendation, or an offer or solicitation to buy or sell any asset.

5.2. You make all decisions yourself and you bear all risks and results of your decisions. Consult independent professional advisers if you need advice.

6. Information, AI, ratings, labels and copy trading

6.1. Our estimates, AI assessments, trader ratings, whale alerts, signals and the Safe / Sketchy / Rug-tier labels are information only. They are not a recommendation, a guarantee or a promise of any result.

6.2. These materials are produced automatically from data that may be incomplete, delayed or wrong, and from models (including AI models) that can make mistakes. A token labelled Safe can still lose all of its value or become impossible to sell. A trader with a high rating can lose money.

6.3. Copy trading copies the trades of another wallet within the limits you set. It does not guarantee the same prices, the same results or any profit. Copies may be delayed, partly filled, skipped or executed at worse prices. The leader may act against your interests. You can stop copying at any time.

7. Custodial wallet and balances

7.1. The Service is custodial. We generate the private keys of your custodial wallet and store them in an isolated signing service. You do not hold these keys. Your deposits are held in wallets we control, and your internal balance is recorded in our ledger.

7.2. You understand and accept the risks of custody, including the risk that our systems, our staff or our providers are compromised, hacked or fail, and the risk of our insolvency. Your balance is not a bank deposit, is not insured and does not earn interest.

7.3. Deposit only the assets and networks that the Service shows as supported. Assets sent to a wrong address, on a wrong network or in an unsupported token may be lost permanently.

7.4. Key export, where available, is subject to delays, confirmations and limits described in the Service.

8. Withdrawals, limits and delays

8.1. Withdrawals are subject to limits that apply and may change, including limits per withdrawal, per user per day, on daily trading turnover, and a shared daily payout limit for the whole platform. Withdrawals above the shared limit wait in an approval queue. The current values are shown in the Service.

8.2. Withdrawals may be delayed: new withdrawal addresses become active only after a waiting period, withdrawals require confirmation, and we may hold a withdrawal for security, anti-fraud, sanctions or legal checks. Blockchain network conditions may cause further delays.

8.3. We may refuse or reverse a withdrawal that we believe is unauthorised, fraudulent or unlawful, to the extent permitted by law.

9. Fees

9.1. Our fees and known third-party fees (such as network fees and venue fees) are shown before you confirm a trade or a withdrawal. By confirming, you agree to them.

9.2. We may change our fees at any time. Changes apply to trades and withdrawals confirmed after the change.

10. Points, tokens, competitions and referrals

10.1. Points, scores, ranks and any similar units have no monetary value, are not money, securities or property, cannot be sold, transferred or exchanged, and may be changed, reset or cancelled at any time.

10.2. We do not promise any token, airdrop, distribution or reward. Nothing in the Service is an offer of tokens.

10.3. Competitions follow their published rules. Cash prizes exist only if expressly announced for a specific competition.

10.4. Referral rewards are a share of our fees under the referral program in force. They may be held, reduced or cancelled for anti-fraud reasons, and the program may be changed or ended.

11. Your obligations

11.1. You are solely responsible for determining, reporting and paying any taxes that apply to your activity.

11.2. You must keep your Telegram account, devices and sessions secure, and tell us immediately about any unauthorised access. You can freeze your account in the Service.

11.3. You must not: manipulate markets; engage in wash trading or other abusive trading; create multiple accounts or abuse referrals, points or competitions; exploit bugs or vulnerabilities (report them to us instead); interfere with the Service; use it for money laundering, terrorist financing, sanctions evasion or any other unlawful purpose; or use another person's account, funds or identity.

12. Risks

12.1. Trading memecoins and prediction market outcomes is extremely risky. You can lose all the money you deposit. Read the Risk Disclosure before you deposit or trade. It forms part of these Terms.

13. Disclaimer of warranties

13.1. The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, security and non-infringement.

13.2. We do not warrant that the Service will be uninterrupted, timely, error-free or secure, that any data, estimate, label or AI assessment is accurate, or that any order will be executed or executed at a particular price.

14. Limitation of liability

14.1. To the maximum extent permitted by applicable law, we, our affiliates, directors, employees and contractors are not liable for any loss or damage you suffer in connection with the Service, including losses caused by or related to:

  • trading losses, price changes, slippage, partial fills or missed trades;
  • rug pulls, honeypots, scams, malicious or defective tokens;
  • bugs, vulnerabilities or failures in third-party smart contracts or in our own smart contracts;
  • outages, delays or errors of blockchain networks, RPC and node providers, Polymarket, Telegram, Cloudflare or any other third party;
  • hacks, theft, unauthorised access or other security incidents;
  • errors of AI models, estimates, ratings, labels or data;
  • delays, holds, blocks, freezes or limits applied to deposits, trades or withdrawals;
  • loss of access to your account, Telegram account, devices or funds.

14.2. To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, opportunity or goodwill.

14.3. To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the fees you paid to us in the three (3) months before the event giving rise to the claim, and in any case to no more than USD 100.

14.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

15.1. You agree to indemnify and hold harmless us, our affiliates, directors, employees and contractors from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, your breach of any law or the rights of any third party.

16. Suspension and termination

16.1. We may suspend, restrict or terminate your access to the Service or any feature, freeze your account, or cancel pending orders, at any time and, where required by security, law or sanctions, without prior notice.

16.2. You may stop using the Service at any time. After termination you may withdraw your remaining balance, subject to Section 8, applicable law and any lawful holds. You may delete your account yourself (in a Telegram bot with /deleteaccount, or on the website) once your balance is zero and no withdrawal is in progress; the account is closed at once and cannot be reopened. What happens to your data is described in the Privacy Policy.

17. Changes to the Terms and to the Service

17.1. We may change these Terms, our fees, limits and features, and suspend or discontinue the Service or any part of it.

17.2. We publish each new version of the Terms on the websites with a new version number and effective date, and we notify you in the Service (for example, in the bot or on the website). Unless a change is required urgently for legal or security reasons, material changes take effect [number] days after publication.

17.3. If a new version requires acceptance, you must accept it as described in Section 2.3. If you do not agree with a change, you must stop using the Service; you may still close positions and withdraw your funds.

18. Governing law and dispute resolution

Note for the lawyer: the operator has chosen arbitration at the Tashkent International Arbitration Centre (TIAC). Complete the bracketed fields and check the clause against the current TIAC model clause and rules.

18.1. These Terms are governed by the laws of the Republic of Uzbekistan.

18.2. Any dispute, controversy or claim arising out of or in connection with these Terms or the Service, including any question regarding their existence, validity, breach or termination, shall be finally resolved by arbitration administered by the Tashkent International Arbitration Centre (TIAC) in accordance with its arbitration rules in force on the date the arbitration is commenced. The seat of arbitration is [Tashkent, Republic of Uzbekistan], the language of the arbitration is [English / Russian], and the tribunal consists of [one / three] arbitrator(s).

18.3. Before starting arbitration, you must send us a written notice of the dispute to [email protected] and give us thirty (30) days to try to resolve it.

19. Class action waiver

19.1. To the maximum extent permitted by applicable law, you and we agree that any dispute will be resolved only on an individual basis. You waive any right to bring or take part in a class action, collective action or representative proceeding against us.

20. Miscellaneous

20.1. These Terms, together with the Risk Disclosure, the Privacy Policy and the Cookie Policy, are the entire agreement between you and us about the Service.

20.2. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in force.

20.3. Our failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms; we may assign ours to an affiliate or a successor.

20.4. We are not liable for any failure or delay caused by events beyond our reasonable control.

20.5. These Terms are available in English and Russian. If the versions differ, the [English] version prevails.
